Other Governance Resources

In researching various sources for use in support of Corporate Governance efforts, we have identified a number of organizations/websites as useful sources of information on best practices in corporate governance. I’ve listed several of them below for your review and use:

Board Source

With more than 25 years of hands-on experience working with nonprofit boards, BoardSource has become the go-to resource for funders, partners, and nonprofit leaders who want to magnify their impact within their community through exceptional governance practices.

The Society of Corporate Secretaries and Governance Professionals

This is a group that provides a significant amount of best practice information to its members. The society requires a membership to access much of their content, but provides a great many resources for companies in organizing their governance activities (document library with example policies, service provider directory, etc.)

The National Association of Corporate Directors

This is another group aimed more at directors themselves that highlights best practices. This group provides more complimentary content if you register for an account with them, but also requires a membership to access more detailed resources.

The Business Roundtable has a Corporate Governance Committee that studies broad issues relating to corporate governance and has issued its Principles on Corporate Governance.

The Conference Board

The Conference Board Commission was a group formed back in 2002 to address declining public trust in private enterprises and released a report recommending best practices in executive compensation and corporate governance. The report suggests a number of concepts that have found their way into the ICPs as well as the CGWG’s disclosure topics (role of CEO/Chairman, independent directors, etc.).

The Organization for Economic Co-operation and Development

OECD is a group of world governments that work together to identify solutions to common problems. The OECD has done quite a bit of work on corporate governance and has published its governance principles. In addition, the OECD worked with the IAIS on a joint project during the rewrite of the governance ICPs and issued its own “Guidelines on Insurer Governance” as a result of that project.
